Terms of Service

1. Acceptance

By using the Service you accept these Terms and our Privacy Policy. If you do not agree, you may not use the Service.

2. Eligibility

You must be at least 18 years old and legally able to enter into contracts to use the Service. You may not use the Service if you are prohibited from doing so under the laws of your country or the United States.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for any activity that occurs under your account. Notify us immediately at security@borobeacon.com of any unauthorized use. You must provide accurate and up-to-date information and keep your account information current.

4. Subscriptions and billing

Paid features are offered on a subscription basis and billed in advance on a recurring monthly or annual cycle. By subscribing, you authorize us to charge the payment method on file for the applicable fees, taxes, and any renewals until you cancel.

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. Fees already paid are non-refundable except where required by law. We will notify you at least 30 days before any price change takes effect.

If a payment fails, we will retry automatically and notify you by email. Subscriptions with unresolved failed payments may be suspended after 14 days and terminated after 30 days.

5. Free trials

We offer a free trial of the Service. Trials last 14 days unless stated otherwise. At the end of the trial, your account will become read-only until you add a payment method. You may cancel the trial at any time without charge. One trial per organization.

6. Acceptable use

You agree not to:

• Use the Service to violate any law or regulation.
• Reverse engineer, decompile, or attempt to extract source code from the Service.
• Interfere with or disrupt the integrity, performance, or security of the Service.
• Use automated scrapers or crawlers to bulk-extract data beyond your own portfolio.
• Send unsolicited commercial email or abusive content through the Service.
• Resell, sublicense, or white-label the Service without our written permission.
• Use the Service to build a competing product or benchmark it without our permission.
• Upload malware, viruses, or any code designed to harm other users.

7. Your content

You retain all rights in the building, portfolio, and compliance data you submit to the Service. You grant BoroBeacon a limited, worldwide, royalty-free license to host, process, transmit, and display that data solely to operate and improve the Service for you. We do not use your data to train AI models or sell it to third parties.

8. Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use that feedback without restriction.

10. Service availability

We strive for high availability but do not guarantee uninterrupted service. We may perform maintenance, deploy updates, or temporarily restrict access as needed. Third-party data sources (NYC Open Data, our AI provider, our email delivery provider) may be delayed or unavailable from time to time and we are not responsible for those delays.

11. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that defects will be corrected.

12. Limitation of liability

To the maximum extent permitted by law, in no event will BoroBeacon, its affiliates, officers, directors, employees, or suppliers be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the Service, including lost profits, lost data, or business interruption, even if advised of the possibility of such damages. Our total cumulative liability for any claim arising out of or related to the Service will not exceed the greater of (a) the amount you paid us in the 12 months immediately preceding the event giving rise to the claim, or (b) one hundred US dollars ($100).

13. Indemnification

You agree to indemnify, defend, and hold harmless BoroBeacon and its affiliates from any claim, demand, loss, liability, or expense (including reasonable attorneys' fees) arising out of your use of the Service, your content, or your violation of these Terms or any law.

14. Termination

We may suspend or terminate your access to the Service at any time if you violate these Terms. You may cancel your account at any time from your account settings or by emailing support@borobeacon.com. Upon termination, your right to use the Service immediately ceases, but sections that by their nature should survive termination (Your content, Disclaimer, Limitation of liability, Indemnification, Governing law, Miscellaneous) will survive.

15. Governing law

These Terms are governed by the laws of the State of New York, United States, without regard to conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

16. Disputes

Any dispute arising out of or related to these Terms or the Service will be resolved in the state or federal courts located in New York County, New York. You and BoroBeacon consent to the personal jurisdiction of those courts.

17. Miscellaneous

These Terms, together with the Privacy Policy, are the entire agreement between you and BoroBeacon regarding the Service and supersede any prior agreements. If any provision is found unenforceable, the remaining provisions will remain in full force and effect.

Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision. You may not assign these Terms without our written consent. We may assign them without restriction.
